Terms of Service

1. Acceptance of terms

By creating an account or using Ginkgo, you agree to be bound by these Terms of Service.

These Terms form a legally binding agreement between you and Nudge App Ltd, a company registered in Northern Ireland under company number NI734993.

Ginkgo is a home inventory application operated by Nudge App Ltd.

If you do not agree to these Terms, you must not use Ginkgo.

If you are using Ginkgo on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

2. The service

Ginkgo is a home inventory and item-tracking application that allows users to record, organise, and retrieve information about items in their homes, storage spaces, and properties.

The service may allow you to:

• Create and manage a home inventory.
• Add item names, descriptions, notes, photos, rooms, and storage locations.
• Search and retrieve inventory information.
• Use AI-assisted features to help identify, describe, plan, or organise items and projects.
• Export or delete your data, where available.

We may modify, improve, suspend, or discontinue parts of Ginkgo from time to time. Where possible, we will give reasonable notice of significant changes.

3. Accounts

To use Ginkgo, you may need to create an account.

You agree to:

• Provide accurate and complete information when creating your account.
• Keep your login details secure and confidential.
• Tell us promptly if you suspect unauthorised access to your account.
• Be responsible for activity that occurs under your account.

You must be at least 16 years old to create an account.

We may suspend or terminate accounts that breach these Terms, create security risks, or are reasonably suspected of being used fraudulently or unlawfully.

4. Subscriptions and billing

Ginkgo may offer free features and paid features. Paid access may include Ginkgo Plus subscriptions and Founder Pass lifetime purchases.

Ginkgo Plus subscriptions

Ginkgo Plus subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current subscription period.

Payment is charged to your Apple ID or Google Play account at confirmation of purchase. Renewal is charged within 24 hours before the end of the current period, unless you cancel auto-renewal before then.

You can manage or cancel your subscription through your App Store or Google Play account settings. Deleting the app or closing your Ginkgo account does not automatically cancel an app store subscription.

Unless required by law or by Apple App Store or Google Play rules, we do not provide a fee reduction or refund for partial subscription periods.

Ginkgo may change subscription prices. Where required, price changes will be notified through the Apple App Store or Google Play before they take effect.

Founder Pass

Founder Pass is a one-time, lifetime, non-consumable purchase. It is not a renewing subscription.

Founder Pass gives access to the paid features described in the app at the time of purchase, subject to these Terms and any technical or platform limitations that apply.

Trials and introductory offers

Ginkgo does not currently offer a free trial or introductory discount. If a free trial or introductory offer is made available in the future, the offer terms shown in the Apple App Store or Google Play purchase flow will apply, and these Terms should be updated before that offer goes live.

5. Acceptable use

You agree to use Ginkgo only for lawful purposes and in accordance with these Terms.

You must not:

• Use Ginkgo to store, share, or transmit illegal content.
• Upload content that infringes another person's rights.
• Attempt to access another user's account, inventory, or data without permission.
• Attempt to reverse-engineer, decompile, copy, or extract the source code of Ginkgo.
• Use automated tools to scrape, index, or collect data from Ginkgo without our written permission.
• Interfere with or disrupt the security, integrity, or performance of Ginkgo.
• Use Ginkgo to send unsolicited or abusive communications.
• Use Ginkgo in a way that could damage, disable, overload, or impair the service.

We may remove content, restrict features, suspend accounts, or terminate access where we reasonably believe these Terms have been breached.

6. Intellectual property

Ginkgo, including the application, website, interface, design, branding, software, underlying technology, and content we create, is owned by Nudge App Ltd or its licensors and is protected by intellectual property laws.

The Ginkgo name, logo, and associated marks belong to Nudge App Ltd. You must not use them without our prior written permission.

Your content

The item names, descriptions, photos, locations, notes, and other inventory information you add to Ginkgo remain yours.

You grant us a limited, worldwide, non-exclusive licence to host, store, process, display, and transmit your content solely as needed to provide, secure, support, and improve Ginkgo.

We do not claim ownership of your inventory data.

You are responsible for making sure you have the right to upload and use any content you add to Ginkgo.

7. Your data

How we collect, use, and protect your personal data is described in our Privacy Policy.

By using Ginkgo, you acknowledge that your personal data will be handled in accordance with our Privacy Policy.

You may be able to export your data from within the application where this feature is available.

You may request deletion of your account and personal data by following the process described in the app, our Data Deletion Policy, or by contacting us.

8. AI features

Ginkgo may include AI-assisted features, such as voice transcription, image analysis, item description, categorisation, project planning, project cover generation, or natural language search.

AI features are provided to help you organise and retrieve your inventory more easily. They may not always be accurate, complete, or reliable.

You are responsible for reviewing AI-generated suggestions before relying on them.

You should not use AI-generated outputs as professional, legal, insurance, financial, valuation, security, or safety advice.

We do not use your Ginkgo inventory content to train Ginkgo-owned models.

9. Early access

Ginkgo may be offered in early access, beta, pilot, or testing phases.

During early access:

• Features may change.
• Some features may be incomplete.
• The service may contain bugs or errors.
• Availability may be limited.
• Pricing may change before or after public launch.

We will try to make Ginkgo reliable and useful, but early access software should not be treated as final or guaranteed.

10. Disclaimers

Ginkgo is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we exclude all warranties, representations, conditions, and guarantees that are not expressly stated in these Terms.

We do not guarantee that:

• Ginkgo will always be available.
• Ginkgo will be uninterrupted or error-free.
• Ginkgo will be free from bugs, viruses, or harmful components.
• AI-generated content will be accurate, complete, or reliable.
• Inventory records will be suitable for insurance, valuation, legal, financial, safety, or professional purposes.

You are responsible for keeping any separate records, receipts, photographs, insurance documents, valuations, or other evidence you may need outside Ginkgo.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or breach of statutory rights where those rights cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising from or relating to your use of Ginkgo is limited to the greater of:

• the amount you paid us in the 12 months before the claim; or
• £50.

We are not liable for indirect, incidental, special, consequential, or punitive losses.

We are also not liable for:

• loss of profits;
• loss of business;
• loss of goodwill;
• loss of opportunity;
• loss of data, except where liability cannot lawfully be excluded;
• loss caused by your failure to keep backup records;
• losses caused by events outside our reasonable control.

Some legal rights cannot be excluded or limited. Nothing in these Terms affects any statutory rights you may have as a consumer.

12. Termination

You may close your account at any time from within the app where this feature is available, or by contacting us.

We may suspend or terminate your access to Ginkgo if:

• you breach these Terms;
• we are required to do so by law;
• your use creates a security, legal, or operational risk;
• we reasonably suspect fraud, misuse, or unauthorised activity;
• we cease to offer Ginkgo or a material part of the service.

When your account is terminated, your right to use Ginkgo ends immediately.

Your data will be deleted or retained in accordance with our Privacy Policy.

13. Changes to these terms

We may update these Terms from time to time.

If we make significant changes, we will notify you by email, in-app notice, website notice, or another reasonable method before the changes take effect.

Your continued use of Ginkgo after the updated Terms take effect means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using Ginkgo.

14. Governing law

These Terms are governed by the laws of Northern Ireland.

The courts of Northern Ireland will have jurisdiction over disputes arising from or relating to these Terms, unless you are a consumer in another jurisdiction where local law gives you the right to bring proceedings elsewhere.
